Since the takeover deal is carried out with the intent to gain control over the operations of the company, the free cash flow approach is being implemented to value the firms equity. Computing the Free Cash Flow of the Enterprise Free Cash Flow to the firm refers to the cash flows that accrue to the stockholders and bondholders after all the capital expenditure requirements and working capital needs have been met. Limitations of Fundamental Valuation Approach The estimates obtained above are subject to several limitations, the primary being the reliability and consistency of the input parameters. Several assumptions have been made regarding the long term growth rate of the company, its cost of equity, etc. Past performance can provide some insight, but cannot be deemed to be sufficiently reliable to predict the future. But this model relies on past performance to estimate future performance, which is a major drawback. Moreover, the achievability and sustainability of the estimates is also questionable. This model also ignores the synergy benefits that accrue form the deal and is overly simplistic. It also assumes that the growth rate would be constant in perpetuity which is rarely the case. Hence, other models need to be applied to determine the fair value of consideration payable. 4.3 Relative Valuation This method is based on the law of one price. The principle that similar securities should be equally priced is the foundation of this approach. Under this approach, the price multiples of the industry and peer group are deemed to be the best indicator of the worth of the stock and they are correspondingly multiplied with the measure to determine the fair value of the security. It assumes that markets are efficient and prices all securities efficiently. Hence the valuation should be arrived at using the market consensus. There are several price multiples that are applied in this approach but here the focus is limited to the following four multiples (DePamphilis, 2009): Price to Earning Multiple, Price to Sales Multiple, Price to Free Cash Flow Multiple, and Price to Book Value Multiple. The weighted average of the price obtained through the above approaches is calculated to arrive at the fair price. All the multiples are not weighted equally, but a larger weight is a pplied to P/S multiple and P/FCF multiple because in the process of acquiring control, the acquirer stands to gain by turning sales and free cash flows in an efficient manner. They may be over priced in boom periods and under priced in the depression periods which affects the valuation of the company as their over/under valuation is reflected in the fair value of the target too. The reasons which have been proposed for this growth in complexity range from a simple model of population pressure- too many mouths to feed, what do we do now?- to the greed for power and wealth from a few individuals to the impacts of climate change- a prolonged drought, a flood, or tsunami, or a depletion of a particular food resource. But single-source explanations are not convincing, and most archaeologists today would agree that any complexity process was gradual, over hundreds or thousands of years, variable over that time and particular for each geographic region. Each decision made in a society to embrace complexity- whether that involved the establishment of kinship rules or food technology- occurred in its own peculiar, and likely largely unplanned, way. The evolution of societies is like human evolution, not linear but branched, messy, full of dead ends and successes not necessarily marked by the best behavior. Macbeth decided to kill Banquo and his son Fleance for more than one reason. The major reason was the prophecy predicted that Banquoââ¬â¢s children would become kings. By killing Banquo and his son, he would be able to prevent Banquo from having more children and stop Fleance himself from becoming King. The other more minor reason was that Macbeth thought that Banquo was suspicious of him, and he was worried that Banquo would tell someone or act on his suspicions. Macbeth didnââ¬â¢t tell Lady Macbeth about what he was planning to do because he thought his wife would think that it would upset their plans. The appearance of Banquoââ¬â¢s ghost made Macbeth very scared and worried, it definitely made him appear incredibly disturbed to all the people around him. Macbeth then decided to go to the witches. He had become caught up in events and felt he had lost control of the situation. He desperately wanted to know what was going to happen next. This did help him a bit, or so he thought, because he knew more about what was going on. This was due to three new prophecies made by the witches ââ¬â ââ¬ËBeware Macduffââ¬â¢, ââ¬ËNo fear until Birnam Wood come to Dunsinane Hillââ¬â¢ and finally ââ¬ËNo man of woman born can harm you. After hearing these prophecies, Macbeth felt much more confident. He scoffed at the idea that a wood could climb a hill, and after hearing that ââ¬Ëno man of woman born can harm youââ¬â¢, the only thing he felt threatened by was Macduff. Since he was a threat, Macbeth wanted to kill Macduff (just like everyone else who had been a threat to him). But he couldnââ¬â¢t get to Macduff, so instead he killed everyone that Macduff loved and destroyed everything that he cherished. As expected, this had a very negative affect on Macduff. Macduff most likely wouldââ¬â¢ve preferred to have been killed himself. Lady Macbeth at the end of the play was very different from the composed lady at the start. Her guilty conscience had gotten to her, and by the end of the play she was a guilty, stuttering mess. She began admitting to some of the terrible deeds she had done. Finally she just couldnââ¬â¢t take it anymore, and committed suicide. Macbeth kept on going because he thought that the prophecies would protect him. Believers of other religions criticize on Islam that in Islam punishments of different crimes are very harsh i.e. for robbery cut the hand of culprits. They believe that if the punishment are given according to the Islamic principals in any society then every second person of that society will be disabled but this is not like that for example Saudi Arabia and other countries where Islamic laws are in practice you will observe that crime ratio is very less because of the fear of the punishments and there i s peace in the society. Islam has given me purpose and direction to my life. So Islam provides us complete code of life and tells us the purpose of our life. Islam tells us everything how to live an excellent life in the world and go to Paradise in Hereafter. Islam has brought peace to my life. Believers of other religions, Jews believe that they are chosen people and loved by the God the most. Christians who believe in Christ believe that they deserves to be saved and loved by the Lord. But according to Quran God loves only those who are useful to people. Descartes deduces that truth about the existence of God lies within his idea of a perfect God and God's essence (as a perfect being who must exist in order to be perfect). A rationalist philosopher, Descartes discounts human knowledge as a product of our sensory data (our senses) but supports the epistemological stance that our knowledge is obtained through the reasoning processes of our own minds. Because Descartes believes deductive inference is the only path to absolute certainty, he endeavors to use logical arguments and principles (a mathematically natured process of reasoning) to validate the existence of God. But how can principles of logic be used to prove the existence of God? Descartes' attempts to stay deductive when attempting to prove the existence of God are indeed laudable, but some of his arguments are lacking. In proving the existence of God, hi s two main arguments are as follows: the idea of a perfect, infinite being in his own head could only have been created by God Himself, and God's existence cannot be separated from His essence . Descartes must first prove that he exists. He writes, ?For example, during these few days I was examining whether anything in the world exists, and I noticed that, from the very fact that I was making this examination, it obviously followed that I exist? (84). Essentially, a being can be certain of its existence if it can think. Descartes also adds that ideas (thoughts, imagination, etc.) are objectively real: ?For whether it is a she-goat or a chimera that I am imagining, it is no less true that I imagine ... ...ply does not stand. Descartes loses his grasp on certainty by failing to prove God's perfection and that God was the only creator of his idea of perfection. By unsuccessfully proving the existence of God through pure deductive reasoning, Descartes' system may sadly be forever doomed to uncertainty in this particular endeavor. And because Descartes' project of certainty about the existence of God was unsuccessful, the same would follow for his deductions about the sense world. But there is always hope. Perhaps the existence of God was never meant to be proved through deductive reasoning and logic.
